Nebius: Growth, Prepayments and the Funding Bill

A sharp weekly pullback puts the focus on cash spending, customer advances and the financing behind its AI-cloud buildout.

In short

  • NBIS fell 9.68% over five sessions; the full closing-peak decline was 48.30%, followed by a separate 41.72% rebound.
  • Q2 growth is substantial, but asset purchases exceed operating cash flow; customer advances and receivables affect cash timing.
  • Reported insider sales were tied to plans or automatic RSU tax-cover transactions. Financing and potential dilution need separate scrutiny.

A big growth story with a bigger funding bill

Nebius stood out in our watchlist scan because the stock is pulling back sharply while its AI-cloud business is growing quickly. The useful question is whether that growth can turn into lasting cash generation after the construction bill arrives.

The company builds GPU infrastructure and the software around it. Its October 1 acquisition of Inferize adds production-inference technology intended to improve GPU utilization. A weekly pullback inside a larger recovery

NBIS closed October 12 at $210.06, down 4.98% that day and 9.68% over five sessions. It finished below its 20-session average of $229.26 and 50-session average of $224.81, but above the 200-session average of $172.06.

The highest close in the last 252 completed sessions was $286.69 on June 18. The subsequent closing low, $148.22 on July 29, represented a 48.30% decline. The rebound from that low to October 12 was 41.72%, leaving the stock 26.73% below the closing peak. Those are separate moves from different starting prices.

The October 6 intraday high of $255.10 is a more recent reference; it is not the same as the June closing peak. Recovering the intermediate averages and holding them on later daily closes would strengthen the chart. Losing the July closing low would weaken the broader recovery. Neither event proves what the business is worth. Historical price cross-check.

Growth and cash are different tests

Q2 group revenue and earnings; operating cash flow versus asset purchases, with working-capital context. · Source: Nebius Q2 results, August 12, 2026.

For Q2 ended June 30, revenue reached $582.3 million, versus $105.1 million a year earlier. Group adjusted EBITDA was $236.2 million, while GAAP net loss was $190.4 million and adjusted net loss was $33.2 million. These earnings measures have different definitions. August 12 results.

Reported operating cash flow was $2,246.1 million; purchases of property, equipment and intangibles were $5,657.4 million. Subtracting those purchases leaves a $3,411.3 million cash spending gap, rather than company-defined free cash flow. Operating cash flow included positive deferred-revenue and receivable movements of $1,197.0 million and $1,186.8 million. Payment timing matters when judging what can recur.

Management says 70% of Q2 deals included prepayments covering roughly 50–60% of associated capital expenditure. That helps explain the funding model: customers pay ahead while Nebius builds capacity. Delivery obligations remain. Its $3.0 billion ARR is June revenue annualized, not recognized full-year revenue. Shareholder letter.

The next financial test is how much growth survives after depreciation, stock compensation, interest and the cash needed to keep building. A large EBITDA number alone cannot answer that.

June's balance sheet is already an old snapshot

On August 24, Nebius closed a $5.75 billion gross convertible-note offering. It also announced agreements to exchange $800 million of older notes for approximately 15.8 million Class A shares. The exchange arrangement is separate from the new cash proceeds. Financing announcement.

That makes it inappropriate to treat June's cash, debt or share count as a current balance sheet. New financing helps fund expansion, but interest, conversion terms and potential dilution still belong in the investment case. We are not constructing a current market capitalization from an outdated share count or presenting a P/E for a loss-making quarter.

The insider chart needs its footnotes

For transactions dated July 13–October 12, the reviewed Class A equity rows show $160.23 million of reported sales and no eligible purchase rows. $141.07 million references trading plans; the remaining $19.16 million is explicitly described as automatic RSU sales for withholding taxes. Plan example · Tax-cover example.

The largest day was October 5: $117.77 million across 12 sale rows for Ophir Nave, under a plan dated May 22. The chart combines same-date rows so a multi-price filing is not mistaken for separate selling events. The marker sits at that day's closing price, not each execution price.

This is useful context about reported ownership changes. It does not establish a fresh bearish decision or explain the selloff. The scan includes Class A shares and preserves that security unit. Grants, other transaction codes and transactions outside the stated window are excluded.

What would improve the case?

Stronger evidence would be capacity entering service on schedule, revenue converting into cash after working-capital movements, and a narrowing gap between operating cash flow and asset purchases. A daily reclaim of the intermediate averages would improve the chart separately.

Missed delivery dates, weaker returns on new capacity or repeated financing that outpaces per-share progress would weaken the business case. For now, Nebius offers substantial growth with substantial execution and funding demands. A pullback makes those questions more timely; it does not answer them.
