SanDisk: the customer cash behind the AI memory boom

A NAND and AI-storage review: separate customer-payment effects from adjusted cash flow, then check valuation, the chart and insider filings.

In short

  • Friday close $1,581.82; down 8.03% for the week, essentially at the 50-session average and 33.9% above the 200-session average.
  • Fiscal Q4 free cash flow of $7.083B becomes company-adjusted free cash flow of $5.035B after NBM payments and Flash Ventures adjustments.
  • Customer contracts can improve visibility, but pricing durability, obligations and cash definitions still matter.

AI needs storage as well as memory bandwidth

SanDisk supplies NAND flash and SSDs. It is a different part of the AI buildout from Micron's HBM business. Data must be stored and retrieved as well as moved around a processor; SanDisk's AI-inference technology update describes that storage opportunity.

In an October 7 company analysis, SanDisk estimates that datacenters now consume around half of industry NAND bits and forecasts a substantially larger flash market. Those are management's estimates and expectations, not an independently verified industry outcome.

My question is whether demand and customer contracts can preserve cash generation when supply expands or pricing becomes less favorable. Growth in bytes alone does not answer that.

The rebound does not erase the drawdown

The October 9 regular-session close was $1,581.82, down 1.72% that day and 8.03% from October 2. It finished almost exactly at the independently calculated 50-session average of $1,582.50, and 33.9% above the 200-session average of $1,181.52.

Across the latest 252 completed sessions, the highest close was $2,335.00 on June 25. The subsequent closing low was $1,015.89 on July 29: a 56.5% decline. The rebound from that low to Friday was 55.7%, leaving the stock 32.3% below the closing peak.

These are closing-price calculations. The intraday high was different: $2,354.39 on June 22. A large percentage rebound follows a much smaller starting base; it does not undo the same percentage decline.

The latest move is a return toward the intermediate average, not evidence of why investors sold. Holding that area and rebuilding a sequence of higher closes would improve the chart. It would not establish that the business is correctly valued. Price cross-check.

Which cash number can recur?

Company-defined free and adjusted free cash flow for fiscal Q4 ended July 3, 2026. Customer-payment effects are shown separately. · Source: SanDisk August 5 Q4 release and cash-flow reconciliation.

For the quarter ended July 3, company-defined free cash flow was $7.083 billion. Remove $1.938 billion of NBM prepayment/deposit effects and a $110 million net Flash Ventures adjustment, and company-adjusted free cash flow is $5.035 billion. These are non-GAAP measures with distinct definitions. Q4 reconciliation.

The annual filing distinguishes advance payments from refundable security deposits. Cash collected ahead of delivery is useful funding, but carries obligations. It should not automatically become a permanent operating run rate.

This adjustment is not evidence of an accounting problem. The company supplies the bridge itself. It lets us ask a better question: can cash generation remain substantial after stripping out payment timing and funding arrangements?

Contracts help. The memory cycle still matters.

At Investor Day, SanDisk said its New Business Model agreements covered approximately half of fiscal 2027 bits and two-thirds of fiscal 2028 bits. Its fiscal 2028–2030 framework targeted roughly 80% non-GAAP gross margins and 50% adjusted free-cash-flow margins.

Those are company targets. Committed volumes, pricing mechanisms and financial guarantees can improve visibility; they do not turn an expectation into a reported result.

The recovery case strengthens if deliveries, pricing and adjusted cash conversion keep supporting that framework. It weakens if customers defer purchases, contract protection proves insufficient, or more supply pressures margins.

Keep the earnings denominator honest

Friday's price divided by reported fiscal 2026 adjusted diluted EPS of $70.88 is 22.3 times. Using reported GAAP EPS of $73.76 gives 21.4 times. These are completed fiscal-year reference multiples, not forward estimates or historical-low valuation claims. Earnings reconciliation.

Fiscal 2026 contained 53 weeks. GAAP and adjusted earnings also differ in their treatment of items including stock compensation, equity-security gains and other adjustments. Keep those definitions visible; do not annualize a single exceptional quarter and call the result a dependable valuation.

The insider check

From July 12 to October 12, our Insider Analyzer found $121.16 million in reported common-stock sales and no reported purchases. All 67 sales referenced trading plans.

For example, legal chief Bernard Shek reported selling 600 shares on October 1 at $1,734.94 under a plan adopted in March. Form 4.

Grants and tax withholding are separate transaction types. This is a dated filing scan, not proof of bearish intent, and not evidence that planned sales caused the price decline.

The next checkpoint

The company has confirmed its next earnings call for October 29. Watch realized pricing, customer-contract commentary and the adjusted cash bridge together. Then revisit the valuation using the newly reported earnings.

My read: the AI storage opportunity is credible. The useful test is whether the cash left after the relevant adjustments can endure beyond this unusually favorable memory environment.
